The quality of Mesibo services is highly dependent on the quality of internet services you use which we do not provide nor we do have any control over it. In case of PSTN termination, the call quality is also determined by the destination number telecom operators over which also we do not have any control. Although mesibo shall do its best to offer you the best available service, you acknowledge that the service is provided without any warranty or assurance of service quality. 2. You further agree that mesibo does not warrant that the service or software will be without failure, delay, interruption, error, omission, degradation of service and quality, or loss of content, data, or information. In no event shall mesibo or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on mesibo’s website, even if mesibo or a mesibo authorized representative has been notified orally or in writing of the possibility of such damage. Any quota described by mesibo is not a commitment that there will be sufficient resources available for you to reach the quota. 4. You further agree that mesibo reserves the right to modify or discontinue any of the services or Accounts at any time with or without notice. ### 3. Restrictions Against Misusing the Services. 1. **Copying and Reverse Engineering** You agree to use the service as documented on the mesibo website without any modification(s). You further agree that you will not: (i) copy, cache, modify, create any derivative work of; or (ii) reverse assemble, decompile, reverse engineer or otherwise attempt to derive source code (or the underlying ideas, algorithms, structure or organization); or (iii) remove any copyright notices, identification or any other proprietary notices from any of the software, copyrighted content and any proprietary information in this Website. 2. **No Circumventing Fees** You agree to not circumvent the applicable fees. For example, you will not create multiple accounts to get free evaluation credits, prevent mesibo from accurately calculating service usage levels, abuse any free service quotas, or offer access to the services under a “time-sharing” or “service bureau” model. 3. **No Fake identities** You agree not to use fake names or disposable emails to create mesibo accounts for any reasons including to spam or circumventing fees. 4. You agree that mesibo may suspend your account with or without any notice and without any refund, if found to violate our terms and Misusing the Service as indicated above. ### 4. Payment Terms, Credits, and NO Refund Policy 1. You acknowledge that Mesibo reserves the right to charge for the Mesibo Services, terms, policies, content and to change its fees from time to time at its discretion. 2. You acknowledge that Mesibo offers service free of charge during the evaluation period to evaluate if mesibo services can meet your requirements before you make payment. You further agree to the limitations stated above. Hence, mesibo does not offer any refund in any circumstances. 3. You acknowledge that you as a customer are responsible for any taxes, and you will pay mesibo for the services without any reduction for taxes. 4. You acknowledge that no purchase order is required to purchase mesibo services. mesibo is not required to provide a purchase order number on mesibo’s invoice 5. You acknowledge that mesibo may remove the free credits amount from an account if you have utilized free credits earlier from another account or created multiple accounts to gain free credits, etc. 6. You acknowledge that mesibo reserve the right to remove any mesibo account and account data that is not incurring charges or is inactive for more than 7 days with or without any notice. ### 5. Intellectual Property Rights, Feedback, Communication, Email Disclaimers 1. **Intellectual Property Rights** You acknowledge and agree that these Terms and Conditions are not intended to convey or transfer to you any intellectual property rights or to grant any licenses in or to any technology or intellectual property or content, other than as expressly provided herein. Mesibo owns all Intellectual Property Rights in the mesibo services and content contained in this Website, including, but are not limited to, software, product information, technology information, user guides, white papers, analysis, trade names, graphics, designs, icons, audio or video clips, logos, etc. Third-party trademarks and information are the property of their respective owners. 2. You acknowledge and agree that any information you communicate to mesibo regarding new feature requests, new requirements, bugs, feedback and suggestions about the service, etc. may be used by mesibo without any obligation to you, and you irrevocably assign to mesibo all right, title, and interest in that information. 3. You acknowledge and agree that mesibo ignores and discards all the Email Disclaimers in your emails and may use information content as indicated above, even if you have sent it in error. mesibo will not contact you about it but may send an automated response when an email was sent to mesibo support. It is your responsibility to contact mesibo for any corrections within 60 minutes of any such error. You further agree that mesibo will be taking corrective action for such errors only one-time for a sender. ### 6. Suspension 1. You acknowledge that mesibo may suspend an account and services without prior notice if it breaches any of the mesibo terms. 2. You acknowledge that mesibo may suspend an account with or without any prior notice and without any refund, if found to violate mesibo terms, engage in indecent behaviors like leaving negative reviews anywhere, being rude with support staff, using fraudulent practices like using fake names, using disposable emails or creating multiple accounts to gain free credits, etc. 3. You further agree that mesibo does not refund any unused portion of subscription fees. 4. This license shall automatically terminate if you violate any of these restrictions and may be terminated by Mesibo at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format. ### 7. Others 1. Mesibo reserves the right to use your application name and screenshots in marketing literature or on its website for purposes of promotion and presentation. Mesibo reserves the right to use your company's name, product name in its marketing literature, or on its website for the purposes of promotion and presentation as well. 2. Safe Harbor.
